Abstract

Palestinian companies law number 12 in 1964 in the west bank did not discuss one person company even though there is a possibility to apply some of its law content on one person company. In contrast ،the Palestinian companies law paid attention for this gap as this law talked about one person company and applied some of its laws on these kinds of companies. This shows an opposite to the traditional principles for the multipl companies .This came as as a response to the economical developments and to the investement in an investemental projects as these projects give a reward for the government and creating a safe environment througho overcoming the multiple companies that are administrated by one person. Even there is a response from the Palestinian companies law for economical devdelopments ، this type of companies faces problems . The thesis aims at studying on person company, the justification of its presence, the laws difficulities and suggesting the lawful solutions for solving these difficulities. In conclusion, the researche reached that there is no coherence in companies' law regagarding limited responsibility companies with the nature of one person company. In order to understand the nature of one person company, I will study the Jordanian company's law in the west bank and its modifications. And applying some of its laws regarding one person company. In order to understand the idea of one person company, we will take the subjects of the palestainian law projects in 2019 and compare it with the jordainian and Egypt law and a lot of Arabic and foreign laws which has a relation to our subject. Also, we will refere to a lot of jugical decisions to take the the subjects which are related to my study. In this regard, I will suggest a lot of law solutions that the one-person company faces.
